Terms of Use — Investor Portal

Access to the NextSpace Investor Relations Portal at investors.nextspace.it is restricted to authorised investors of NextSpace SCSp (the "Fund") who have received a personal invitation from the General Partner.

1. Confidentiality

All information made available through the portal — including financial data, business plans, site pipeline information, signed legal documents, and investor communications — is strictly confidential. By accepting access, you agree to keep this information confidential, not to share it with any third party (other than your professional advisors bound by similar confidentiality), and not to use it for any purpose other than evaluating or managing your investment in the Fund.

2. Personal Use

Your portal account is personal and non-transferable. You agree not to share your credentials or two-factor authentication device with anyone. You are responsible for any activity occurring under your account. Notify ir@nextspace.it immediately if you suspect unauthorised access.

3. Information Provided

Information presented through the portal is provided for informational purposes and does not constitute investment advice, an offer to sell, or a solicitation to buy any security. The Fund makes no representation as to the completeness or accuracy of forward-looking statements, projections, or pipeline data.

4. No Marketing

The portal is not a marketing communication and does not constitute an offer to subscribe to any fund or financial instrument. Subscription is governed exclusively by the executed subscription documents and the Fund's Limited Partnership Agreement.

5. Watermarking

Documents downloaded from the portal are watermarked with your identity and the download timestamp. This is intended to deter unauthorised redistribution.

6. Termination

The Fund may revoke your portal access at any time, in particular upon termination of the investor relationship. Records of your activity may be retained as required by AML, tax, and other applicable law.

7. Governing Law

These Terms are governed by the laws of the Grand Duchy of Luxembourg. Any dispute shall be submitted to the exclusive jurisdiction of the courts of Luxembourg, without prejudice to mandatory consumer-protection rules of your country of residence (if applicable).
